The contents of this page are intended for use only by persons who qualify as “accredited investors”. Under Canadian securities legislation (National Instrument 45-106 – Prospectus Exemptions or, in Ontario, the Securities Act (Ontario)) a person qualifies as an accredited investor if any of the criteria listed below are met. If you are unsure whether you qualify as an accredited investor, please consult your dealer or other qualified financial or legal advisor.

a) An individual who, either alone or with a spouse, beneficially owns financial assets (cash, securities, etc.) having an aggregate realizable value that (before taxes, but net of any related liabilities) exceeds $1,000,000.

b) An individual who, either alone or with a spouse, has net assets of at least $5,000,000.

c) A person (including a corporation), other than an individual or investment fund, that has net assets of at least $5,000,000 as shown on its most recently prepared financial statements.

d) An individual whose net income before taxes exceeded $200,000 in each of the 2 most recent calendar years and who reasonably expects to exceed that net income level in the current calendar year.

e) An individual whose net income before taxes combined with that of a spouse exceeded $300,000 in each of the 2 most recent calendar years and who reasonably expects to exceed that net income level in the current calendar year.

f) A person acting on behalf of a fully managed account managed by that person, if that person is registered or authorized to carry on business as an adviser or the equivalent under the securities legislation of a jurisdiction of Canada or a foreign jurisdiction.

g) A trust established by an accredited investor for the benefit of the accredited investor’s family members of which a majority of the trustees are accredited investors and all of the beneficiaries are the accredited investor’s spouse, a former spouse of the accredited investor or a parent, grandparent, brother, sister, child or grandchild of that accredited investor, of that accredited investor’s spouse or of that accredited investor’s former spouse.

h) A person in respect of which all of the owners of interests, direct, indirect or beneficial (except the voting securities required by law to be owned by directors) are persons that are accredited investors.

i) An individual registered or formerly registered under the securities legislation of a jurisdiction of Canada as a representative of a registered adviser or dealer (other than an individual formerly registered solely as a representative of a limited market dealer under the Securities Act (Ontario) or the Securities Act (Newfoundland and Labrador)).

j) A person that is recognized or designated by the applicable securities regulatory authority in the relevant jurisdiction as an accredited investor.

k) Certain types of entities that meet the applicable requirements in the legislation, including (but not limited to) financial institutions and their subsidiaries, firms registered under Canadian securities legislation, governments and their agencies, regulated pension funds, investment funds, trust companies and registered charities.

Please note that if you are a resident of Canada, in a province other than Ontario, British Columbia or Quebec, and if you decide to invest in a fund managed by Forum Asset Management Inc., you will need to do so through a registered dealer in your province of residence.

A successful entrepreneur and business executive, champion fundraiser, and dedicated public servant, Rocco Rossi is the immediate past-President and Chief Executive Officer of the Ontario Chamber of Commerce and is currently on the boards of several organizations: Terravest Industries, Canada EU Trade and Investment Association and Shift Canada. As Chief Executive Officer of the Heart and Stroke Foundation – one of Canada’s largest non-profit organizations – from 2004 to 2009, Mr. Rossi oversaw four consecutive years of record fundraising raising over $500 million in total and launching many new, life-saving initiatives. As Chief Executive Officer of Prostate Cancer Canada (“PCC”) from 2013 to 2018, he led many initiatives that ultimately led the Financial Post to rate PCC one of the 3 top health charities in Canada in 2017.

    Founder & CEO of Forum

    Richard is an accomplished entrepreneur with over 30 years of experience in the areas of real estate investment and development, infrastructure development, public private partnerships, power investments and private equity. He founded Forum as a real estate brokerage company in 1996 and sits on Forum’s investment committee. Forum made its initial principal investments in 2002 and in the following 20 years achieved an approximately 4x multiple on invested capital. Richard enthusiastically supports the community with time and money, and has served in numerous not-for-profit board positions. He is an active member of the Young Presidents’ Organization.

    Managing Partner, Forum, and Chairman & Trustee of FMS Capital Trust

    Tate is responsible for the Corporate Development, Private Equity and Investor Relations activities at Forum is a member of its investment committee. Tate has spent the majority of his career in the private markets and is responsible for building out new asset classes and platforms as Forum grows its business. Prior to joining Forum, Tate spent 15 years with Onex Corporation. During his career at Onex, Tate worked both as an investor in Onex’s private equity fund and as corporate development for the parent public company. Tate was directly involved in investing over $5 billion of capital in businesses covering sectors including asset management, healthcare, services and building products. Tate combines his investing capability with operating expertise, having held senior executive positions at two operating businesses owned by Onex. Prior to joining Onex, he worked in the Mergers & Acquisitions Group at RBC Capital Markets where he was involved with over $18 billion of transactions. Tate holds an Honours Business Administration degree (with Distinction) from the Ivey School of Business, University of Western Ontario, and a B.A. in Philosophy from Huron University College, University of Western Ontario.

    Managing Partner, Forum Real Estate

    As Managing Partner, Real Estate at Forum, Aly leads Forum’s largest business. He has deep knowledge of acquisitions, development and asset management across multiple asset classes and sits on Forum’s investment committee. Over the course of his career, Aly has been involved with principal investments valued at more than $4 billion in total. Aly is active in the advocacy of student housing and is a member of the Ontario Collage of Art and Design (OCAD) University’s board of governors. Aly has participated in student housing conferences as a speaker and moderator, and works closely with Bonard, the world leader in student housing research. Aly also sits on University of Guelph’s Lang School of Business Advisory Board as well as its Real Estate Alliance Advisory Board. Before joining Forum, Aly served as the Executive Vice President of Investments & Asset Management at Hullmark, a private urban real estate investor and developer in downtown Toronto. Aly co-led direct acquisitions and led the firm’s asset management and operations functions. In his 7 years at Hullmark, Aly drove significant growth for the company, helping to increase AUM 15x to just under $1 billion, and co-led the development of partnerships with large-scale institutional partners including a REIT, a Toronto-based university and one of Canada’s largest life insurance companies. Aly also served as 2022 President of the NAIOP Greater Toronto Chapter, one of the commercial real estate industry’s largest advocacy groups. Aly holds an MBA specialized in real estate and a bachelors degree specialized in accounting/finance, both from York University.

    Daniel is a Trustee of the Trust and a director and the President of Forum Make Space Storage GP Inc. Since 2010, Daniel has been a key contributor to the growth and development of Make Space in partnership with its other founder, Vaughan Anthony Kooyman, in their vision to grow a self-storage and containerized storage business. Daniel has focused on business development and executing upon Make Space’s self-storage platform, including acquisition support, portfolio management and leading in raising capital. In addition to being a co-owner of Make Space, Daniel also serves as its Vice President of Business Development, leveraging 10 years of prior experience as the Vice President of Global Business Development at Globex Foreign Exchange Corporation.

    Lara is responsible for finance across Forum’s real estate platform, overseeing financial operations and reporting.

    Prior to joining Forum, Lara was the Senior Vice President of Finance, Canadian Commercial at Starlight Investments responsible for the financial reporting, long term debt financing, acquisition due diligence, financial operations management, and investor relations for True North Commercial REIT, as well as the institutional commercial portfolio asset managed by Starlight. During her tenure with Starlight, Lara assisted in the completion of over $3 billion of investment transactions. Prior to Starlight, Lara spent eight years with BDO Canada LLP as a Manager in the Audit and Assurance Group, working predominantly on real estate clients. Lara is a CPA, CA and holds a Bachelor of Business Administration from York University.

    Vaughan is a director and the Head of Acquisitions of Make Space and is also its founder and former Chief Executive Officer.

    Vaughan has been actively involved in developing and managing self-storage, portable storage and container leasing and sales businesses for over 15 years. Vaughan has the unique ability to bring together individuals who share his values of integrity and a strong work ethic and align them to a common vision. Vaughan holds an MA in Management from Antioch University.

    Mr. Miner is an independent Trustee of the Trust and is also the lead independent trustee of the Forum Real Estate Income and Impact Fund.

    He is retired from the Ontario Municipal Employees Retirement System, where he was Executive Vice-President & Global Head, Capital Markets. Previously, he spent 25 years at TD Asset Management, as Vice Chair and Co-Head of Asset Allocation. Mr. Miner also served as a director on the boards of Brit Plc, Allied World and AGT Food Ingredients.

    Ms. Tam is an independent Trustee of the Trust and is also an independent director of the Brookfield Public Securities and Oaktree Capital Management Funds complexes where she is a member of the Audit and Governance Committees. Ms. Tam previously spent over 25 years at the Bank of Montreal/BMO Capital Markets where she was Group Head of Debt Syndication and a Managing Director in their Debt Capital Markets group. Ms. Tam brings expertise in capital management and structuring, mergers and acquisitions, and debt raising and placement strategies. She has also served as a Chair of the Board of CanIssue, a syndication system and was co-Chair of a Women of Fixed Income, Currency, and Commodities Forum which Ms. Tam hosted for almost two decades. Ms. Tam has a MBA from the University of Toronto and a BSc Engineering from the University of Waterloo.
